Terms of Service
The agreement between Anytable and your restaurant.
PLEASE READ THESE TERMS CAREFULLY. SECTION 19 CONTAINS A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
These Terms of Service (the “Terms” or this “Agreement”) are a legally binding agreement between Anytable Inc., a Florida corporation (“Anytable,” “we,” “us,” or “our”), and the restaurant business identified at sign-up (“Restaurant,” “you,” or “your”). This Agreement governs your access to and use of the Anytable platform, including the ordering pages, the dashboard at manager.anytable.com, the Anytable staff mobile applications, and all related software, features, and services (collectively, the “Service”).
By creating an account, clicking to accept these Terms, or accessing or using the Service, you (a) acknowledge that you have read and understood these Terms; (b) agree to be bound by them; and (c) represent and warrant that you are at least 18 years of age, that you have full power and authority to enter into this Agreement on behalf of the Restaurant, and that doing so does not violate any other agreement to which you or the Restaurant is a party. If you do not agree to these Terms, you may not use the Service.
The Service is offered solely to restaurant businesses located in the United States.
1. The Service
Anytable provides a commission-free online-ordering platform, including: a branded ordering page for your Restaurant at an assigned web address (yourrestaurant.anytable.com); an owner and staff dashboard; staff mobile applications; menu, order, location, and team management; reporting; and automated customer communications. Payment processing is provided by Stripe, Inc. and its affiliates (“Stripe”), and order proceeds settle directly to the bank account associated with your connected Stripe account.
Your customers’ purchase of food and beverages is a transaction between the customer and your Restaurant. Anytable is a technology platform; it is not a party to those transactions, does not prepare, sell, or deliver food, and exercises no control over your menu, prices, preparation, or fulfillment. Customers’ use of your ordering page is governed by the Anytable Customer Order Terms, which you agree not to contradict in your own dealings with customers.
Anytable may modify, enhance, add, or discontinue features of the Service from time to time in its sole discretion. If a change materially reduces the core functionality of the Service, your remedy is to cancel as described in Section 15.
2. Accounts; Activation; Your Team
2.1 Review and activation. Every sign-up is subject to review, and Anytable may accept or decline any sign-up, or condition activation on additional information, in its sole discretion. Following activation, your ordering page is placed live in coordination with our team.
2.2 Account information. You agree to provide accurate, current, and complete information at sign-up and to keep it updated. Anytable may rely on the instructions of any person who accesses the Service using valid credentials for your account.
2.3 Your team. You may invite team members and assign roles with differing access levels. You are solely responsible for: all activity that occurs under your account; the acts and omissions of every person you grant access; maintaining the confidentiality of credentials; and promptly removing access for personnel who should no longer have it. Significant account actions are logged.
2.4 Support access. You authorize Anytable personnel to access your account as reasonably necessary to provide support, maintain the Service, investigate suspected violations of this Agreement, or comply with law. Such access is logged.
3. Subscription; Trial; Fees and Billing
3.1 Subscription fee. The Service is provided for a subscription fee of $29.99 per month, per restaurant (the “Subscription Fee”). Additional locations operated under the same Restaurant account are included at no additional charge. Anytable may change the Subscription Fee upon at least 30 days’ advance notice; changes apply from your next billing cycle following the notice period.
3.2 Payment method. A valid payment card is required at sign-up and must be kept current. You authorize Anytable (through Stripe) to charge your payment method for the Subscription Fee and any other amounts due under this Agreement, on a recurring basis, without further authorization from you, until your subscription is cancelled.
3.3 Free trial. Each Restaurant receives one 14-day free trial, which begins automatically the first time its ordering page is set live. The trial is granted once per Restaurant, ever; reactivations, re-registrations, and subsequent go-lives do not renew it. UNLESS YOU CANCEL BEFORE THE TRIAL ENDS, YOUR PAID SUBSCRIPTION BEGINS AUTOMATICALLY AT THE END OF THE TRIAL AND THE PAYMENT METHOD ON FILE WILL BE CHARGED ON A RECURRING MONTHLY BASIS.
3.4 Failed payments; delinquency. If a charge fails, Anytable will notify you and may retry the charge. Anytable may suspend or deactivate the Service for accounts with unpaid balances. You are responsible for all amounts accrued through the date of suspension and for any costs of collection permitted by law.
3.5 Taxes on fees. Subscription Fees are exclusive of any applicable taxes, which you are responsible for where imposed.
3.6 No refunds. Except where expressly stated in this Agreement or required by law, all fees are non-refundable, and no refunds or credits are provided for partial billing periods, unused features, or downtime.
4. Convenience Fee
A per-order convenience fee is added at checkout and paid by the ordering customer (the “Convenience Fee”). The Convenience Fee is set by Anytable, may be changed by Anytable at any time, is displayed to the customer before an order is placed, and is collected by Anytable as its platform fee via Stripe. The Convenience Fee is never deducted from your menu prices, your order proceeds, or your tips. You agree not to impose additional charges on customers that are represented as Anytable fees.
5. Payment Processing; Payouts; Stripe
5.1 Stripe account required. Receipt of order proceeds requires a Stripe connected account. You agree to the Stripe Connected Account Agreement, including the Stripe Terms of Service, as each may be amended by Stripe (available at stripe.com/connect-account/legal). Banking, identity-verification, and related information is collected and held by Stripe, not Anytable. Anytable is not responsible for Stripe’s acts, omissions, decisions (including account holds, reserves, or terminations), or payout timing.
5.2 Direct settlement. Charges for your orders are processed to your connected Stripe account, and payouts follow Stripe’s payout schedule. Anytable does not hold, pool, or escrow your order proceeds and is not a money transmitter, bank, or fiduciary.
5.3 Processing fees. Standard payment-processing fees are charged by Stripe on each transaction. Anytable adds no markup to processing fees and takes no commission on your orders.
5.4 Chargebacks; disputes; fraud. Chargebacks, payment disputes, reversals, and fraud losses relating to your orders are your responsibility and are funded from your connected account. You agree to cooperate in any dispute investigation and to maintain reasonable practices to prevent fraudulent orders.
6. Orders; Refunds; Automatic Cancellation
6.1 Your orders. You are solely responsible for reviewing, accepting, preparing, and fulfilling orders placed through the Service. You may cancel or refund an order — in full, or partially by item — through the Service within the platform’s refund window. Refund amounts are displayed for confirmation before processing, and refunds are funded from your connected account.
6.2 Automatic reminder and cancellation. The Service includes an automated safety mechanism, which you accept as a condition of use: if a new order is not acted upon, your team is automatically reminded; if the order remains unactioned after the time limit configured in your settings, the order is automatically cancelled, the customer is automatically refunded in full from your connected account, and the customer is notified. You may adjust the reminder and cancellation timing, or enable automatic order acceptance, in your settings. Anytable has no liability for orders cancelled, or refunds issued, by operation of this mechanism.
6.3 Order communications. The Service sends transactional emails to customers on your behalf at each stage of an order. You are responsible for ensuring your order-handling practices (estimates, statuses, cancellations) are accurate so that these communications are truthful.
7. Tips
Tips are calculated on the food subtotal, are not subject to the Convenience Fee, and are passed through in full: 100% of every tip is settled to your Restaurant. You are solely responsible for the lawful distribution of tips to your personnel in accordance with applicable federal, state, and local law.
8. Taxes on Your Sales
You set the sales-tax configuration for each of your locations, including the applicable rate and whether your delivery fee is taxable, and the Service applies your configuration at checkout. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING, CONFIGURING, COLLECTING, REPORTING, AND REMITTING ALL TAXES APPLICABLE TO YOUR SALES. Anytable provides configurable calculation tools only; it does not provide tax, legal, or accounting advice, does not verify your settings, and has no liability arising from your tax configuration or compliance. Consult your own tax professional.
9. Restaurant Responsibilities; Compliance
You represent, warrant, and agree that you are and will remain solely responsible for:
- The accuracy and lawfulness of your menu, item descriptions, prices, photographs, hours, and all other content you provide;
- Food preparation, quality, safety, storage, handling, and packaging, and compliance with all food-safety and health laws, regulations, and codes;
- Providing accurate allergen and ingredient information, maintaining practices for handling allergen inquiries and order notes, and responding to customer allergen questions — including reviewing any notes or instructions submitted with an order before preparing it;
- Holding and maintaining all licenses, permits, and registrations required to operate your business and sell the items you list;
- Fulfilling the orders you accept, including timeliness and completeness;
- Delivery operations, which are performed exclusively by your own employees or agents — never by Anytable — including driver conduct, licensing, vehicle insurance, and compliance with all applicable laws;
- Maintaining insurance appropriate to your business, including general liability coverage;
- Your compliance with all laws applicable to your business, including consumer-protection, employment, wage-and-hour (including tip distribution), accessibility, and privacy laws.
Anytable does not inspect, endorse, or verify your food, premises, personnel, or operations.
10. Customer Data
10.1 Your customers. As between you and Anytable, the customer relationships and customer data generated by your orders belong to your Restaurant. Order data is made available to you through the Service, and you may export your order data at any time.
10.2 Your obligations. You agree to handle customer data in compliance with applicable privacy and data-protection laws and with the commitments in Anytable’s Privacy Policy; to use customer data solely in connection with your Restaurant’s lawful business; and not to sell customer data or use it for unsolicited communications in violation of law.
10.3 Review requests. If you enable review requests, you authorize Anytable to send review-invitation emails to your customers on your behalf and represent that you have the right to grant that authorization. Customer opt-outs are honored automatically, and you agree not to circumvent them.
11. Your Content; License; Feedback
11.1 License. You retain ownership of the content you upload to the Service (logos, images, menus, text, and similar materials, collectively “Restaurant Content”). You grant Anytable a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, adapt (for formatting and display purposes), and distribute Restaurant Content as necessary to operate, provide, market, and improve the Service, including on your ordering page, in order communications, and in listings or directories of participating restaurants.
11.2 Your warranties. You represent and warrant that you own or have all rights necessary to grant the license above, and that Restaurant Content does not infringe or misappropriate any third party’s intellectual-property, publicity, or privacy rights and is not unlawful, deceptive, or defamatory. Anytable may remove or disable any Restaurant Content that it reasonably believes violates this Agreement or applicable law.
11.3 Feedback. If you provide suggestions or feedback about the Service, Anytable may use them without restriction or obligation to you.
12. Ordering Subdomain
Your ordering page is made available at a subdomain of anytable.com assigned by Anytable. The subdomain is licensed to you for the duration of your active subscription; it is not sold or transferred, and you acquire no ownership or trademark rights in it. Anytable may change, suspend, or reclaim a subdomain where reasonably necessary (including upon termination, trademark conflict, misuse, or technical requirement), with notice where practical.
13. Acceptable Use
You agree not to, and not to permit any person to: use the Service for any unlawful, deceptive, or fraudulent purpose; list or sell items you are not lawfully permitted to sell; process payments unrelated to bona fide food-and-beverage orders from your Restaurant; probe, scan, or test the vulnerability of the Service or breach any security or authentication measure; interfere with the Service or any other restaurant’s use of it; introduce malicious code; scrape, harvest, or misuse data from the Service; reverse engineer, decompile, or create derivative works of the Service except as permitted by law; resell, sublicense, or white-label the Service; or misrepresent your affiliation with Anytable. Violation of this Section is grounds for immediate suspension or termination.
14. Intellectual Property
The Service — including all software, design, text, graphics, and the selection and arrangement thereof — is owned by Anytable or its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted in this Agreement, no license or right is granted to you by implication or otherwise. Anytable® is a registered trademark of Anytable Inc. (U.S. Reg. No. 6897047); you may not use Anytable’s names, marks, or logos without prior written permission, except to truthfully state that your Restaurant uses the Service.
Section 14A. Copyright Complaints (DMCA)
Anytable respects intellectual-property rights and expects the restaurants using the Service to do the same. Anytable will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”).
14A.1 Reporting claimed infringement. If you believe that material available through the Service infringes a copyright you own or control, please send a written notification to Anytable’s designated agent: Copyright Agent, Anytable Inc., 700 S Rosemary Ave, Suite 204, West Palm Beach, FL 33401 — support@anytable.com (subject line “DMCA Notice”). To be effective under the DMCA, your notification must include: (a) a physical or electronic signature of a person authorized to act on behalf of the copyright owner; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to permit Anytable to locate it (for example, the URL of the ordering page on which it appears); (d) your contact information, including address, telephone number, and email address; (e) a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.
14A.2 Our response. Upon receipt of a compliant notification, Anytable will remove or disable access to the identified material and will make a reasonable attempt to notify the restaurant that provided it. Anytable may also, at its discretion, remove or disable material in response to non-compliant notices where it independently concludes removal is appropriate.
14A.3 Counter-notification. If your material was removed and you believe the removal was a mistake or misidentification, you may send a written counter-notification to the designated agent above containing: (a) your physical or electronic signature; (b) identification of the material removed and its location before removal; (c) a statement, under penalty of perjury, of your good-faith belief that the material was removed as a result of mistake or misidentification; and (d) your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located and that you will accept service of process from the person who provided the original notification. Anytable may restore the material in accordance with the DMCA unless the original complainant notifies us that it has filed a court action within the statutory period.
14A.4 Repeat infringers. Anytable will, in appropriate circumstances, terminate the accounts of restaurants determined to be repeat infringers. Knowingly submitting a materially false notification or counter-notification may expose you to liability under the DMCA.
15. Term; Cancellation; Suspension; Termination
15.1 Term. This Agreement begins when you accept it and continues until terminated as provided herein.
15.2 Cancellation by you. You may cancel at any time; there is no long-term contract and no cancellation fee. Cancellation takes effect at the end of your then-current billing period; you retain access through that date, and fees for the current period are not refunded or prorated.
15.3 Account deletion; data. You may delete your account through the dashboard. Deletion cancels your subscription, and account data is permanently purged 14 days after your current billing period ends. You are responsible for exporting any data you wish to retain before purge. Your Stripe account and its records remain yours and are governed by your agreement with Stripe.
15.4 Suspension and termination by Anytable. Anytable may suspend or terminate your access to all or part of the Service, with or without notice, if: you breach this Agreement; your account presents a risk of fraud, legal liability, or harm to customers, other restaurants, or the Service; amounts due are unpaid; or Anytable is required to do so by law or by a payment partner. Anytable may also terminate this Agreement for any reason upon 30 days’ notice. Upon deactivation, billing stops as of the next cycle and customer-facing ordering is disabled.
15.5 Survival. Sections that by their nature should survive termination (including Sections 5.4, 6.2, 8, 9, 10.2, 11, 14, 14A, and 16 through 22) survive.
16. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANYTABLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, ANYTABLE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT ORDERS, NOTIFICATIONS, OR EMAILS WILL BE DELIVERED OR RECEIVED; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR BUSINESS RESULT, REVENUE, OR VOLUME OF ORDERS. THE SERVICE DEPENDS ON THIRD-PARTY PROVIDERS (INCLUDING STRIPE, HOSTING, EMAIL-DELIVERY, PUSH-NOTIFICATION, AND MAPPING SERVICES) FOR WHOSE ACTS, OMISSIONS, OR OUTAGES ANYTABLE IS NOT RESPONSIBLE. NO ADVICE OR INFORMATION OBTAINED FROM ANYTABLE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL ANYTABLE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) ANYTABLE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO ANYTABLE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE EXISTENCE OF MULTIPLE CLAIMS WILL NOT ENLARGE THIS LIMIT. THE PARTIES ACKNOWLEDGE THAT THE FEES REFLECT THIS ALLOCATION OF RISK AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN, AND THEY APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
18. Indemnification
You will defend, indemnify, and hold harmless Anytable and its officers, directors, employees, and agents from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your food and beverages, including their preparation, quality, safety, labeling, allergen content, or any illness, injury, allergic reaction, or death alleged to result from them; (b) your delivery operations, drivers, vehicles, or personnel; (c) your tax configuration, collection, or remittance; (d) Restaurant Content; (e) your use of customer data; (f) your violation of any law or regulation or of the rights of any third party; (g) any dispute between you and a customer, employee, or other third party; or (h) your breach of this Agreement. Anytable may assume the exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate with that defense.
19. Dispute Resolution; Binding Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT REQUIRES INDIVIDUAL ARBITRATION OF DISPUTES AND WAIVES JURY TRIALS AND CLASS ACTIONS.
19.1 Informal resolution first. Before initiating any proceeding, you agree to give Anytable written notice of the dispute at support@anytable.com and a 30-day opportunity to resolve it informally. Most concerns are resolved this way.
19.2 Binding arbitration. Except as provided in Sections 19.4 and 19.5, any dispute, claim, or controversy arising out of or relating to this Agreement or the Service — including its formation, interpretation, breach, or termination, and including whether a claim is subject to arbitration — will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration will be seated in Palm Beach County, Florida, conducted by a single arbitrator, and may be conducted by videoconference where appropriate. Judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own attorneys’ fees and costs except where the arbitrator awards them under applicable law or the AAA rules.
19.3 Class action and jury waiver. ALL PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AND ANYTABLE EACH WAIVE ANY RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court, with the remainder in arbitration.
19.4 Exceptions. Either party may (a) bring an individual claim in small-claims court, or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or prevent unauthorized access to the Service.
19.5 Opt-out. You may opt out of this arbitration provision by sending written notice to support@anytable.com within 30 days of first accepting these Terms, stating your Restaurant name and intent to opt out. Opting out of arbitration does not affect any other provision of these Terms.
19.6 Governing law; venue. This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-laws principles. For any matter not subject to arbitration, the state and federal courts located in Palm Beach County, Florida have exclusive jurisdiction, and the parties consent to personal jurisdiction and venue there.
19.7 Time limit on claims. To the extent permitted by law, any claim arising out of or relating to this Agreement or the Service must be filed within one (1) year after the claim accrued, or it is permanently barred.
20. Force Majeure
Anytable will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics, labor disputes, utility or telecommunications failures, third-party service-provider outages, cyberattacks, acts of government, or war.
21. Changes to These Terms
Anytable may modify these Terms from time to time. For material changes, Anytable will provide at least 30 days’ notice by email to your account address and/or through the dashboard before the modified Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree, your sole remedy is to cancel before the effective date.
22. General Provisions
Entire agreement. These Terms, together with the Privacy Policy, the Cookie Policy, and any terms expressly incorporated by reference, constitute the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous understandings. Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. No waiver. No failure or delay in exercising any right is a waiver of it, and no waiver is effective unless in writing. Assignment. You may not assign or transfer this Agreement without Anytable’s prior written consent; any attempted assignment in violation of this Section is void. Anytable may assign this Agreement without restriction, including in connection with a merger, acquisition, or sale of assets. Independent contractors. The parties are independent contractors; nothing in this Agreement creates any partnership, joint venture, agency, franchise, or employment relationship, and neither party may bind the other. No third-party beneficiaries. This Agreement is for the sole benefit of the parties; it confers no rights on any other person, including your customers. Electronic communications. You consent to receive notices and communications from Anytable electronically, and agree that electronic notices satisfy any legal requirement that communications be in writing. Headings. Headings are for convenience only and do not affect interpretation. Export and government use. The Service is offered in the United States; you are responsible for compliance with any laws applicable to your access from other locations.
